Many remain cheap for years.

In early 2023, we spent time on Concordia Maritime, a small-cap listed Swedish shipping company. On paper, the opportunity appeared straightforward:

Underlying fleet value materially above enterprise value

Strong demand for tankers in a booming second-hand market

A large discount to calculated net asset value

But valuation was not the hard part.

The real question was whether that value could actually be realised, or whether it would remain trapped in a persistent public-market discount without clear execution and shareholder agency.

New to Holon Capital?

We publish in-depth research on overlooked, unloved and misunderstood public companies, drawing on our own investment process.

Subscribe for free to receive future Deep Dives, Case Studies and Essays.

Subscribe now

Why This NAV Discount Was Actionable

What differentiated this situation was agency.

Stena Sessan, Concordia’s dominant shareholder, had both the economic incentive and the practical ability to influence the outcome. Importantly, this was not a thesis dependent on a hypothetical future event.

Concrete actions were already underway:

Asset sales were being completed above book value, with further disposals announced

Debt was being actively reduced

The fleet and balance sheet were being simplified

These actions occurred independently of any buyout speculation and materially improved downside protection.

At the same time, the second-hand tanker market was booming. Older quality tonnage was attracting strong demand, prices had risen sharply and vessels could be sold into a highly liquid seller’s market.

In this environment, it was economically rational for management to act opportunistically and accelerate asset disposals.

To assess both the realisable value and liquidity of the remaining fleet, we consulted an independent tanker valuation specialist. Their assessment supported the view that the vessels were worth materially more than their book values and could be sold within a reasonable timeframe.

This gave us confidence that the asset value was not merely theoretical. It could be converted into cash, allowing balance-sheet simplification to translate into realised shareholder value.

With a controlling shareholder willing and able to act, the outcome became a question of execution and oversight, not simply valuation.

That distinction was central to our conviction.

Why the Market Stayed Skeptical

Despite the apparent discount, the stock remained largely ignored. Contributing factors included:

Limited liquidity and small-cap status

A shrinking fleet and declining revenues that screened poorly on growth metrics

General fatigue with active investing

Insufficient scale for many institutional investors to deploy meaningful capital

In our view, these factors explained why the discount existed, but not why it should persist, given the asset sales, debt reduction and capital discipline already in progress.

Valuation at Entry - February 2023

At the beginning of 2023, Concordia Maritime operated four P-MAX product tankers.

<a class="image-link image2 shareholders

Value remaining trapped in the public market

The controlling shareholder pursuing an outcome that did not maximise value for minority investors

We were comfortable with these risks because of the substantial margin of safety, management’s demonstrated willingness to simplify the balance sheet and the largest shareholder’s significant economic interest.

That interest was meaningful, although not perfectly aligned with minority shareholders.

Outcome

We initiated a position in February 2023 at an average price of SEK 6.15 and exited in December 2023 at SEK 9.65 following the buyout announcement by Stena Sessan.
<div The other sells burritos.

But at very different points in their histories, both became caught up in crises severe enough to make investors question whether the underlying franchise had been permanently damaged. In both cases, the problems were real. And in both cases, exceptional investors concluded that the market had dramatically overestimated their long-term consequences.

In the early 1960s, American Express found itself at the center of a scandal involving something far removed from cards or Travelers Cheques: tanks of soybean oil.

The connection came through a small warehousing subsidiary that verified commodities held in storage and issued receipts against them. Banks then accepted those receipts as collateral for loans.

That non-core business was about to expose the entire company to one of the biggest corporate frauds of its era.

At the center of it was Anthony De Angelis, a commodities trader who had borrowed enormous sums against warehouse receipts claiming that vast quantities of soybean oil sat inside his storage tanks.

There was just one problem.

The vast majority of the oil did not exist.

Many of the tanks were filled with water, topped with just enough oil to fool inspectors.

When the fraud was exposed, American Express Warehousing faced claims tied to $144 million of loans, more than three times the parent company’s total capital at the time. A business far removed from the company’s core franchise had suddenly created a potential liability large enough to threaten the whole enterprise.

Confidence evaporated. American Express lost more than half of its market value as investors questioned whether the scandal had permanently damaged the reputation for trust and financial reliability on which its franchise depended.

Warren Buffett looked past the panic.

The potential financial hit was enormous. But Buffett focused on a more fundamental question: had customers actually turned their backs on American Express?

They had not.

Customers continued using its cards and other services. The core franchise remained profitable and intact even while the market was pricing the company as though it had been permanently impaired.

Buffett responded by putting roughly 40% of his investment partnership’s capital into American Express, the largest investment the partnership had ever made up to that point.

The businesses could hardly have been more different, but more than half a century later, the same pattern appeared again.

This time, the company was Chipotle.

Beginning in 2015, a series of E. coli and norovirus outbreaks struck directly at a brand built around fresh, high-quality food. Customers became sick. Restaurants were closed. Investigations followed. Customers stayed away.

The financial damage was brutal.

In 2016, comparable restaurant sales fell 20.4%. Revenue declined 13.3%. Net income effectively disappeared, falling 95% to just $22.9 million.

Then Pershing Square, led by Bill Ackman, acquired a 9.9% stake.

Once again, the crisis was serious. But the more important question was whether the damage was permanent, or whether customer trust could be rebuilt and the business restored to health.

Chipotle had already begun implementing enhanced food-safety protocols, and Pershing believed the qualities that had made the business exceptional in the first place, its brand, differentiated product, powerful unit economics and enormous growth opportunity, had not disappeared because of the crisis.

With stronger operations, governance and execution, Pershing concluded that the damage was reversible and the business could recover.

That judgment proved enormously valuable.

High-quality businesses rarely become genuinely cheap without a fundamental reason.

A scandal.

A legal problem.

An operational failure.

A collapse in profitability.

A sudden loss of investor confidence.

Most of the time, the market is right to be cautious. Uncertainty deserves a discount.

But occasionally, the market does something more: it takes a serious but temporary proplem and extrapolates it indefinitely into the future.

That is the opportunity.

The question is not whether something has gone wrong. It is whether what went wrong has permanently impaired the future earning power of the franchise.

When the answer is no, investors may be given one of the rare opportunities to buy a high-quality business at a price that would never be available under normal circumstances.

Vital Farms now presents a related investment question.

The problems are real.

The question is how much of the recent deterioration is temporary, how much is structural and what it means for the company’s long-term earning power.

Let’s investigate.

New to Holon Capital?

We publish in-depth research on overlooked, unloved and misunderstood public companies, drawing on our own investment process.

Subscribe for free to receive future Deep Dives, case studies and essays.

Subscribe now

Meet Vital Farms (Nasdaq: VITL)

Vital Farms has built a national consumer brand around one of the most ordinary products in the supermarket: the egg.

At first glance, eggs seem like a straightforward everyday product. It has nothing to do with pasteurization, which is a separate process used to reduce harmful microorganisms in food. Cage-free hens are not kept in cages, but they may still spend their lives inside a barn. Under the Certified Humane standards followed by Vital Farms, pasture-raised hens receive outdoor access for at least six hours per day, weather permitting, and at least 108 square feet of pasture per bird.

In practice, the hens can leave the barn, move around outside and forage through grass and other vegetation. The barn remains available for shelter, nesting and protection.

That difference in living conditions is the foundation of Vital Farms.

Matt O’Hayer and his wife, Catherine Stewart, founded the company in 2007 with 20 hens on a 27-acre farm outside Austin. They believed that better living conditions and a varied diet could produce higher-quality eggs while supporting a more humane form of farming.

The first eggs were sold at local farmers markets and restaurants. Less than a year later, Whole Foods began carrying them, providing early evidence that the idea could appeal beyond a small local market.

As demand grew, Vital Farms did not try to own enough land and barns to produce every egg itself. Instead, it built a network of independent family farms.

The farmers own and operate their farms, provide the land, barns and labor, and cover the costs of producing the eggs. Vital Farms sets the production and animal-welfare standards, helps coordinate the supply of laying hens and enters into multi-year contracts to purchase the eggs they produce.

By early 2026, Vital Farms worked with more than 625 small farms. A small number of company-owned “accelerator farms” now supplement the network, allowing the company to test farming practices and produce some eggs itself. They do not change the core model. Independent family farms remain the deliberate foundation of the business.

From the farms, the eggs are transported into Vital Farms’ processing network. At Egg Central Station, its main facility in Springfield, Missouri, they are washed, inspected, graded by size and quality, packaged and prepared for delivery to retailers across the country.

The strength of the model lies in how neatly the incentives align from farm to shelf.

Farmers gain a committed buyer and a reliable route to national demand without having to build their own consumer brand. Retailers can source a consistent product from one company rather than dealing separately with hundreds of farms. Consumers see one recognizable brand and one consistent product backed by the same standards, regardless of which farm produced the eggs. Vital Farms can expand production without owning every farm itself.

The packaging turns those standards into a promise shoppers can recognize. It communicates what pasture-raised stands for, emphasizes animal welfare and connects the product to the farmers behind it. Each egg carton includes a small newspaper called the Vital Times, and consumers can use a code to view the farm where their eggs were produced.

At this point, you might reasonably be thinking: are we still talking about eggs?

Yes, we are.

But many shoppers, particularly those who are health-conscious and pay closer attention to how their food is produced, do not view every egg as interchangeable. They are willing to pay a premium for products they associate with more natural farming practices, better animal welfare and greater transparency. They are not simply paying for the egg itself, but also for confidence in how it was produced and whether the claims on the packaging can be trusted.

Vital Farms’ task is to make those otherwise invisible differences clear and credible enough to become the brand shoppers associate with ethically produced eggs.

The strategy first gained traction in natural-food retailers such as Whole Foods and Sprouts, where customers were already familiar with premium and ethically produced food. It then expanded into mainstream chains including Walmart, Kroger, Target, Publix and Albertsons.

By the end of 2025, Vital Farms products were sold in more than 24,000 stores across the United States. Revenue had grown from $260.9 million in 2021 to $759.4 million in 2025.

What began with 20 hens outside Austin had become a national system connecting hundreds of farmers, major retailers and millions of households.

Why Does the Opportunity Exist?

For five years, Vital Farms appeared to be doing almost everything right.

Between 2020 and 2025, revenue grew from $214.3 million to $759.4 million. Adjusted EBITDA increased from $16.8 million to $114.0 million. control.

Since early 2022, repeated outbreaks of avian influenza had reduced the number of laying hens across the United States. Conventional eggs became scarce and retail prices rose sharply.

Vital Farms benefited. When ordinary eggs became unusually expensive or disappeared from shelves, the price difference to a pasture-raised alternative narrowed. Trading up became easier, and the company acknowledged that shortages during 2024 and early 2025 increased demand for its products.

Management responded by recruiting more farmers, coordinating the placement of more hens and expanding washing and packing capacity. While demand exceeded supply, those decisions looked sensible.

But Vital Farms was building for a trajectory that suddenly changed.

As conventional production recovered during 2025, prices fell, promotions increased and cheaper alternatives returned. The premium over Vital Farms widened again.

Consumers did not stop buying the brand. Distribution gains still allowed reported revenue and volume to grow. But its eggs were moving more slowly through existing stores just as more supply was arriving.

Vital Farms could not simply switch that supply off.

The company coordinates chick orders at least a year before the hens begin laying and commits to purchasing farm output through contracts averaging roughly six years. Decisions made during scarcity can therefore keep producing eggs long after demand and pricing have changed.

Eggs are also perishable. When Vital Farms cannot sell them through its premium retail channel, it may have to divert them to wholesalers or egg-breaking plants, where they are sold as lower-value ingredients.

At the supermarket, Vital Farms sells a branded promise.

At an egg-breaking plant, it sells a commodity.

By early 2026, the company had more eggs than it could profitably sell through the channel around which its economics had been built.

Capital Kept Flowing in the Wrong Direction

The market reversal alone would have hurt earnings. What made it more damaging was how late management appeared to recognize it.

A new enterprise software system disrupted orders and fulfilment late in 2025, raising questions about whether the company’s internal systems had kept pace with its growth.

Management nevertheless entered 2026 with extraordinary confidence.

On February 26, it forecast adjusted EBITDA of between $105 million and $115 million. It planned to spend $140 million to $150 million, primarily on Vital Crossroads, a second washing and packing facility in Indiana, and authorized a $100 million share-repurchase programme.

During the first quarter, Vital Farms spent $20 million buying shares at an average price of $19.97.

Ten weeks later, management cut expected adjusted EBITDA from a midpoint of $110 million to just $5 million. It also halved planned capital expenditure, slowed Vital Crossroads and paused further development of company-owned farms.

Capital had been moving in the opposite direction to the operating reality.

The company was adding farms, constructing capacity and repurchasing shares while demand slowed and excess eggs moved into lower-value channels. The reversal damaged management’s credibility, and shareholder lawsuits alleging misleading disclosures followed. Those claims have not been adjudicated.

The Brand Promise Came Under Attack

The third problem may matter most over the long term.

Vital Farms can reduce supply, delay a facility and improve capital discipline. Repairing lost consumer trust would be harder because animal welfare, transparency and provenance are central to the premium shoppers pay.

Vital Farms had already faced a consumer lawsuit alleging that its humane and ethical marketing was misleading. The remaining claims were later dropped without a payment by the company.

Further criticism spread across social media in early 2026. Critics questioned the hens’ corn and soy feed, the colour and nutritional composition of the eggs and whether hens spent enough time on fresh pasture. Vital Farms disputed the allegations and had long disclosed that supplemental feed formed part of its system.

There is not yet clear evidence that these controversies materially reduced demand.

But they attack the precise beliefs for which consumers pay more.

A conventional producer can endure criticism of its farming practices without destroying the basic reason customers buy its eggs. Vital Farms has built its identity around being different. It does not need every accusation to be true for damage to occur. It needs only enough consumers to question whether that difference is worth the premium.

From Premium Back Toward Commodity?

Vital Farms expanded supply into a market moving from scarcity to abundance. Management kept committing capital before sharply cutting its outlook. At the same time, criticism reached the ethical promise on which the brand’s premium depends.

Our investigation must answer three questions.

Is the oversupply temporary, or does the long planning cycle expose Vital Farms to recurring forecasting errors?

Can management restore supply discipline without damaging the farmer network and future growth capacity?

And if conventional egg prices remain low while consumers become more price-conscious, does the brand retain enough trust and pricing power to remain meaningfully differentiated?

Ultimately, is Vital Farms temporarily being forced to sell excess production into commodity channels, or is the business beginning an unwilling transition from premium-brand economics toward commodity economics?

That is what we now need to investigate.

Can Vital Farms Earn Its Way Back?

That brings us to the question that matters: what would a genuine recovery look like?

Revenue is not the answer. Vital Farms generated $759 million in 2025 and expects $775 million to $800 million in 2026, but too many eggs are being sold outside premium retail and profit per dollar has collapsed.

A real recovery requires Vital Farms to sell its expanding supply through branded retail, restore an acceptable margin and turn earnings into cash. Revenue without margin merely moves more eggs.

The first question is whether consumers still see enough difference between Vital Farms and the cheaper carton beside it.

The historical evidence is encouraging but inconclusive. From 2023 through 2025, Vital Farms attributed $165.8 million of revenue growth to price and mix and $231.8 million to volume. Gross margin rose from 30.2% in 2022 to around 38% in 2024 and 2025. Raising prices while expanding volume and margin suggests differentiation; the unresolved question is how much belonged to the brand and how much to egg shortages. (Vital Farms 10-K)

Today’s shelf provides a harder test.

At Walmart, one late-July 2026 U.S. online-store snapshot offered Vital Farms’ large pasture-raised eggs at $6.46 per dozen against $3.74 for a comparable Marketside carton, part of Walmart’s private-label food range. Both were on rollback, leaving Vital Farms at a 72.7% premium. Prices vary by store, so this is a shelf observation, not a national price. (Vital Farms at Walmart, Marketside at Walmart, Walmart private brands, Walmart pricing policy)

Whole Foods provides a more revealing test. Promotion reduced Vital Farms’ premium over Whole Foods’ private label from more than 50% to about 20%. A later listing at $6.21 reinforced why these figures should be treated as snapshots rather than national prices. (<a welfare and organic certification. Whole Foods’ $5.79 pasture-raised carton is a credible alternative for the same ethically minded shopper, and promotion can quickly narrow the premium consumers actually pay. (Whole Foods standards)

The question is no longer simply whether consumers want pasture-raised eggs:

Why should a shopper choose Vital Farms when Whole Foods itself offers pasture-raised eggs for substantially less?

The answer must come from brand trust, traceability, perceived quality and consistency. Current shelf prices show that Vital Farms retains premium positioning. They do not yet prove pricing power. We lack comparable unit-velocity and price-elasticity data as supply expands.

Management’s response points in the same direction. In May, it said industry pricing and promotional changes in outdoor-access eggs had affected Vital Farms’ sales velocity far more than expected. The company is now investing in price to narrow the gap with competing outdoor-access eggs. Guidance assumes price investment and distribution gains return shell-egg volume growth to positive territory in Q3 and accelerate it in Q4, provided competitive activity does not intensify. If lower relative prices do not restore velocity on that timetable, the problem may run deeper than price.

Q1 delivered the same mixed message: revenue increased 15.4% to $187.2 million, but price and mix reduced it by $9.7 million as surplus eggs entered commodity channels. Gross margin fell from 38.5% to 28.3% and adjusted EBITDA from $27.5 million to $5.0 million. (Q1 results)

The specialty category itself has not collapsed. Cal-Maine, America’s largest egg producer, reported that specialty volume increased 5.8% while conventional volume fell 6.7%. But category resilience does not solve Vital Farms’ problem. The company still has to persuade consumers to choose one of the category’s most expensive cartons. New-farm purchasing contracts average roughly six years, and Vital buys all qualifying eggs produced during the term. Management expects to spend $35 million to $50 million compensating contracted farmers for voluntarily ceasing production from existing flocks or delaying future flock placements. Inventory had already increased from $66.5 million to $90.2 million by March. (Q1 2026 Form 10-Q)

Cash provides the clock. Vital reported $66.3 million of 2025 net income but generated only $33.7 million of operating cash and spent $82.0 million on capital expenditure. In Q1, operations consumed another $18.6 million, capital expenditure was $20.8 million and cash and securities fell from $113.4 million to $51.4 million. With no bank debt and a $60 million credit facility, this is not an immediate solvency problem. It is a test of whether funded capacity can produce attractive returns. (2025 Form 10-K, <a It is the margin attached to it. We define a successful recovery as roughly $1.02 billion of revenue and a 10% EBITDA margin in 2029, producing about $102 million of EBITDA.

That margin is an assumption, not an automatic consequence of a 30% gross margin. The gap between gross margin and adjusted EBITDA margin narrowed from 25.7 percentage points in 2022 to 22.6 points in 2025. Our base case requires it to narrow further to 20 points by 2029. We think that is achievable at a larger scale, but it requires real operating leverage and should not be treated as automatic. (2022 results, 2025 results)

History provides a useful reality check. In 2022, Vital Farms generated a 30.2% gross margin but only $16.2 million of adjusted EBITDA on $362.1 million of revenue, a 4.5% margin. A larger revenue base should allow costs to grow more slowly than sales, but if that operating leverage does not materialize, a 30% gross margin alone will not produce a 10% EBITDA margin.

A margin above 10% belongs in the outperformance case. Even the base recovery leaves EBITDA below the $114 million earned in 2025 despite revenue being one-third higher. We therefore do not assume that the shortage-enhanced 15% margin returns.

These are judgment ranges, not mechanical peer multiples. Failure deserves only five to six times EBITDA; seven times looks generous for weak margins, debt and unresolved demand. A proven base recovery could justify ten to twelve times. Twelve to fifteen times belongs only to a business that has re-established durable branded demand, pricing power, margins and cash generation.

We reserve fifteen times for a genuinely strong outcome. At that multiple, the EBITDA yield is only 6.7% before taxes, capital expenditure and working capital. It requires durable growth, not one better year. Our strong case holds revenue near the base-case level but lifts EBITDA to about $125 million, a 12.3% margin. The upside therefore comes from better economics, not a more aggressive revenue forecast.

Continued cash consumption leaves the failed case with approximately $60 million of net debt. In the base case, recovering margins and cash generation reduce that burden to $25 million; in the strong case, it disappears entirely.

Better operations create the value; the multiple recognizes their quality.

<a class="image-link image2 is-viewable-img" target="_blank" Before deciding whether any of that upside adequately compensates us, we need to examine what could prevent the recovery from happening.

What Could Make Us Wrong?

A turnaround can fail loudly. The more dangerous version appears to work: volume returns, revenue rises and the economics never follow.

Vital Farms still faces the ordinary risks of an egg company, including disease, recalls and dependence on major retailers. But the risks below are more specific to the recovery we are underwriting.

Management could make the hole deeper.

Vital Farms expanded supply, committed capital and repurchased shares, then cut EBITDA guidance ten weeks later. Because farm contracts stretch for years, another forecasting mistake would keep arriving in cartons and consuming cash long after management recognized it. The pending securities class action adds another unknown. The allegations remain unproven and no loss can yet be estimated. For now, it is a potential cost and distraction, not a liability we can responsibly value. (Q1 2026 Form 10-Q)

Volume could return without the economics.

Lower prices and heavier promotion may restore sales velocity exactly as planned. But $1 billion of revenue at a 6% or 7% EBITDA margin is a very different business from our 10% recovery case. The turnaround could look successful at the checkout and still fail in the financial statements.

The brand itself could lose its premium.

This is the risk that would break the thesis. Vital Farms can charge more only while consumers believe the name on the carton means something beyond *pasture raised*. The company has publicly answered questions about feed, outdoor access and whether its standards changed as it grew. We found no evidence that this has materially damaged demand. But if those questions weaken trust, temporary price investment could turn into permanent discounting. (Vital Farms standards)

That is the nightmare:

Americans keep buying pasture-raised eggs but decide they no longer need Vital Farms.

Supply can eventually be reduced. Costs can be cut. A premium brand that cannot earn a premium is a different business.

Our take….

After all of this, the decision is simple: at the $12.75 reference price, we would wait.

Base recovery implies a 16.6% to 23.1% annualized return through 2029, but failure destroys approximately 64% to 72% of the original investment. A stock can offer substantial upside and still be a poor investment when too much has to go right.

<a class="image-link image2 is-viewable-img"
